General

Services (the “Service” or “Services”) offered by Peatix (the "Site") are administered using a platform provided by Peatix Inc.("Peatix"). Services are provided under the following Terms of Use Agreement ("Agreement") and pertained individual provisions and guidelines(Agreement and pertained individual provisions and guidelines are hereinafter referred to as “Agreements”).



1. Application of this Agreement

This Agreement is a legal agreement between Peatix and Members that applies to all services of the Site. This Agreement will be applied cumulatively together with the individual provisions and guidelines, and the individual provisions and guidelines constitute part of this Agreement. By using the services of the Site, Members indicate that they have agreed to all sections of these Agreements as well as the Privacy Policy.



2. Terminology
  1. "Member" or "Members" indicates an individual or group that has consented to these Agreements and registered as a Member of the Site.
  2. “Organizer” or “Organizers” indicate an individual or a group that organizes an event or hosts a community by using the Services.
  3. “Attendee” or “Attendees” indicate a Member or Members that attend an event or join a community by using the Services.
  4. "Site Account" refers to the system that manages Transactions within the Site.
  5. "Event" or "Events" refer to an event created by using the Site.
  6. "Ticket" or "Tickets" refer to the QR Code that enables entry and attendance to Events created by using the Site.
  7. ”Community” or “Communities” refer to the communities created by through the Site.
  8. ”Paid Ticket” or “Paid Tickets” refer to the paid tickets published by the Organizer by using the Site.
  9. ”Free Ticket” or “Free Tickets” refer to the free tickets published by the Organizer by using the Site.
  10. "Transaction" or "Transaction" refer to the action of purchasing Paid Tickets or getting Free Tickets , or reselling tickets through Resale Service (defined in Individual Terms of Services for Resale), and the use of Subscription Service by Members of the Site.


3. Role of Peatix.

Peatix provides a platform where third parties, Organizers and Attendees, complete transactions and payments between them. Peatix bears no liability on the actual transactions between Organizers and Members, or among Members. Therefore, upon completion of the transaction, an agreement is made between the Organizer and Attendee. Any dispute including refunds for a canceled event must be resolved between the Organizer and Attendee, and Peatix bears no responsibility.



4. Membership and Member Registration

Individuals who have given their consent to this Agreement and have completed the prescribed membership application will be granted Membership after completion of the prescribed registration procedures. Member Registration should be carried out by the person applying to be a member him or herself. Registration by a representative will not be recognized. Additionally, persons younger than 13 years of age cannot register to be Members of the Site. Persons younger than 20 years of age require parental consent before Member Registration. Member Registration by persons above 13 and below 20 years of age is treated as registration with parental consent. Furthermore, those who have previously had their Membership revoked or have been judged unfit for Membership by Peatix may be refused.



5. Entering Member Information

When registering as a Member, please accurately enter all necessary information in the prescribed entry form.



6. Managing Username and Password

Members should take responsibility for the management of their Username and Password, such as by changing them periodically to prevent them being found out by others. When the entered Username and Password are confirmed by the prescribed method to be the same as those registered, this will be viewed as the Member having logged in, and even if it is actually usage by someone other than the Member due to theft or unauthorized use, Peatix will not be held responsible for any resultant damages.



7. Changing Registered Information

When any of your registered information changes, please update it as soon as possible. Peatix will not be held responsible for any damages resulting from out of date information. Also, even when your information has been updated, Transactions processed before the update will be carried out based on the old information.



8. Canceling Membership

When a Member wishes to cancel their Membership, they should promptly apply for cancellation with the exception of a Member being an Organizer who has a published and un-finished event. Once the prescribed Membership cancellation procedures have been completed, Membership will be considered cancelled.



9. System Environment
  1. The Member bears responsibility to properly prepare, set up, and operate the equipment, software, and Internet necessary to use the Services at their own cost.
  2. Peatix bears no responsibility for the Members’ accessibility of the Site and the Services.


10. Peatix's Liability Limitations

Members must not engage in the following acts in connection with the usage of this Site:

  1. Peatix bears no responsibility for system down time, slowing or data losses due to damages to telecommunication lines or computers, damages resulting from unauthorized access to data, or any other damages suffered by Members related to use of this Service. Provided, however, that this shall not apply in the case where damage was made on purpose or results from a critical fault of Peatix.
  2. Peatix does not guarantee that e-mail contents sent from Peatix's web page, server or domain are free of harmful viruses or any other programs that harm the Members’ computer or devices. Peatix bears no responsibility for the damages suffered by Members that can be attributed to email contents which include such harmful programs.
  3. Peatix will from time to time provide information or advice to Members, but Peatix takes no responsibility for said information or advice.
  4. Peatix will bear no responsibility for any damages resulting from a Member violating this Agreement.
  5. Peatix will bear no responsibility for the contents of Events shared by this Site.
  6. Peatix will bear no responsibility for the usability, compatibility, integrity, accuracy, safety, legality, concurrence of any information provided through the Site and the Services including emails and external sites linked from the Site which is managed by third parties.
  7. Peatix does not guarantee that no bug,error,failure or any other trouble will occur for the Services. Peatix will bear no responsibility for any damages resulting from the usage of the Services or inability to use the Services, regardless of the damages being direct or indirect, monetary or mental. Provided, however, that this shall not apply in the case where damage was made on purpose or results from a critical fault of Peatix. Any trouble or dispute between the Members or between the Member and another third party regarding the Services must be resolved between them, and Peatix bears no responsibility.


11. Prohibitions

Members must not engage in the following acts in connection with the usage of this Site:

  1. Violating the law, Guideline, these Agreements, warnings from Peatix or this Site, or any other agreement.
  2. Violating the rights of or degrading Members or other third parties.
  3. Actions that may negatively affect the physical and mental well-being of minors, and other actions that threaten public order and standards of decency.
  4. Distributing or submitting harmful computer programs or e-mails.
  5. Lending or giving an username and password to a third party, or sharing an username and password with a third party.
  6. Unauthorized reproduction, transmission or distribution of all or part of provided information to third parties.
  7. Using the Site for activities related to elections for public office at any time.
  8. Actions that may violate intellectual property rights such as copyrights, trade mark rights or Peatix or other third parties.
  9. In addition to the one prescribed by the preceding paragraph, actions that may violate the property rights, privacy, portrait rights, or any other rights of Peatix or other third parties.
  10. Action that may violate social ethics.
  11. Intentionally registering false information such as name, address, phone number, or email address of themself or another person.
  12. Posting false or inaccurate information regarding the event.
  13. Posting questions or complaints regarding the accuracy of the feature or information of the Services.
  14. Using the Services for a purpose unintended by Peatix.
  15. Creating a nuisance to Peatix or other third parties.
  16. Actions that may lead to or has the risk of leading to crimes such as fraud, abusage of controlled substances, prostitution, or money laundering.
  17. Soliciting customers to transactions other than the Services by indicating preferential treatment or by any other method.
  18. Other instances otherwise deemed inappropriate by Peatix.


12. Handling of Member Information

Member information will be managed by Peatix in accordance with Peatix's Privacy Policy. Peatix will consider Member information as something that can be used by Peatix for the purposes of providing Service to Members, improving the quality of the Service, promoting the Service (including direct e-mails), and to ensure the well-rounded and smooth operation of the Service. This applies to all Member information provided at the time of Member Registration.



13. Suspension of Use or Revocation of Membership for Specific Members

If any of the following are judged applicable to a specific Member, Peatix may without warning suspend service, change the Member's username and password, or revoke the Membership of the applicable Member. Peatix will not bear any responsibility for any resultant damages.

  1. Actions that violate the law or these Agreements.
  2. Inappropriate or unauthorized use of the service by a Member.
  3. Issues with security and protection such as multiple incorrect password entries.
  4. Using another Member's username and password.
  5. Publishing or broadcasting another Member's content without prior permission.
  6. When otherwise deemed appropriate by Peatix.


14. Suspension, Alteration or Abolishment of the Service

Peatix may suspend, alter or abolish part of or the entirety of the Service at their discretion. Peatix will not bear any responsibility for any resultant damages.



15. Re-entrustment

Peatix can re-entrust part of or the entirety of the Services specified in these Agreements to third parties.



16. Handling of Personal Information
  1. Peatix will handle Information pertaining to clients along the guidelines provided in a separate Privacy Policy, and Members that use the Site will have agreed to the terms of the Privacy Policy.

  2. Members will agree in advance that Peatix provides Members’ Personal Information in any of the following cases to those specified under each items, and Members cannot make complaints or any other objections.
    1. In case it is deemed necessary to disclose Personal Information to a third party in order to provide information or service which member wish to receive; the said third party
    2. In case the Organizer requires Members’ name and email address acquired by Peatix through the Site and it is deemed necessary by Peatix; the said Organizer
    3. In case we are formally requested to disclose Personal Information by public organizations such as courts of justice and police; the said public organizations.
    4. In case the Member’s action on the Site violates these Agreements and it is deemed necessary to disclose Personal Information in order to protect the rights, properties, and Services of the Site; third party deemed necessary by Peatix.
    5. In case it is deemed necessary to disclose Personal Information to a third party in order to protect important benefits such as the lives, health or assets of an individual or the public; third party deemed necessary by Peatix in order to protect important benefits.
    6. In case it is deemed necessary to disclose Personal Information to financial institutions in order to process payments; the said financial institutions.
    7. In case it is obliged to disclose or provide by law; to whom it is obliged to disclose or provide by law
    8. In case Peatix sells its subsidiary or its division; to whom Peatix is sold.
    9. In case Peatix signs a joint development contract or any other agreement with a third party which specifies the collaboration on our services: the said third party *
      **There is no such third party as of now.
17. Advertising Placement

Peatix may display advertisements on this Site that it determines to be appropriate. Peatix will bear no responsibility for any damages to Members or third parties resulting from advertisements displayed on the Site.



18. Revisions to these Agreements

Peatix may revise these Agreements as it sees fit, and determine additional agreements to supplement these Agreements. Revisions or supplements to these Agreements will be considered active when their content is posted to the prescribed web site by Peatix. In such cases Members must adhere to the revised or supplemented Agreements.



19. Governing Laws, Jurisdiction

The laws of the State of New York, United States of America govern these Agreements, and any controversy or claim resulting out of or relating to these Agreements shall be settled in the federal or state courts of New York, USA.



Individual Terms of Service for Attendees

1. Application to use the Services
  1. Individual Terms of Services for Attendees (“TOS for Attendees”) is ancillary to the Agreement provided by Peatix, and is applicable to all matters relating to the usage and operation of the Services between the Member and Peatix when the Member orders the Free Ticket or purchases a Paid Ticket. Members will check and agree to the TOS for Attendees when using the Services. By ordering a Free Ticket or purchasing a Paid Ticket, Members indicate that they have agreed to all sections of this TOS for Attendees. Unless otherwise defined in this TOS for Attendees, definitions of the terms used in this TOS for Attendees are the same as those defined in this Agreement.
  2. Peatix reserves the right to modify the TOS for Attendees without the consent of users. Unless otherwise specified, post-modification TOS for Attendees will be effective the moment it is displayed on the Site. In case the user uses the Services after the modification of TOS for Attendees becomes effective, users are deemed to have agreed to all sections of the modified TOS for Attendees.


2. Pricing of Tickets

By using this Service, Event Organizers create Events and Tickets related to such Events, and delegate the sales of the Tickets to Peatix. The number and price of Tickets on sale are determined by the Event Organizer. Pricing of Paid Tickets displayed on this Site are tax included.



3. Ticket Transaction

Users shall purchase a ticket by a method specified by Peatix, and check and agree to the Agreement and Privacy Policy provided by Peatix in advance. The transaction is considered complete when a ticket order confirmation email is sent by Peatix, and in case of a Paid Ticket, sales agreement is made upon completion of the transaction between the Organizer and those who made the purchase. Ticket will be displayed digitally in the smartphone applications for Attendees provided by Peatix or in the designated page on the Site. Peatix bears no responsibility for the delay of ticket receipt by the Member or any resultant damage caused by reasons attributable to the Member including incorrect information provided in the order process.



4. Contact About the Event

Attendees are deemed responsible for directly contacting the event Organizers for any questions about the event, and Peatix takes no part in this.



5. Ticket Return, Cancellation
  1. Due to the nature of the product, in principle, tickets ordered or purchased by the Attendee (excluding Resale Ticket Buyer defined in Section 3 of Article 4 of Individual Terms of Service for Resale) cannot be returned or canceled except for the cases described below:
    1. Attendee (buyer) requested the Organizer for the return or cancellation of the ticket before the date of the event and the Organizer accepted such request.
    2. Attendee (buyer) ordered or purchased ticket through Resale Service in accordance with the Individual Terms of Service for Resale.
  2. In case the ticket was canceled and returned for reasons specified under (i) of preceding paragraph, Cancellation fee specified by Peatix will be charged to the Attendee for cases below:
    1. More than 50 days have passed since the Attendee placed order by credit card.
    2. Attendee placed order through Convenience Store or ATM.
  3. Notwithstanding Section 1, tickets will be cancelled and the Attendee will get a full refund in cases below. In such case, Cancellation fee will not be charged to the Attendee.
    1. Event was cancelled for reasons attributable to the Organizer, and the Organizer cancelled the event in a method specified by Peatix.


6. Liabilities and Refunding upon Event Cancellation

Peatix bears no responsibility including notification if an Event is cancelled due to circumstances related to the Event Organizer. Provided, however, the purchase amount of Tickets will be refunded if the Organizer canceled the event in a method specified by Peatix. . When refunding due to Event cancellation refunds will be conducted through each respective credit card company if the ticket was purchased by credit card, or through bank transfer if purchased at a convenience store/ATM.



7. Prohibition on Reselling Tickets

Tickets that have been purchased can not be resold or provided to a third party for reselling purposes. If it is determined that a ticket has been resold, the ticket may be nullified without any refunding with entry into an Event denied. Peatix also may cancel an account if it determines to do so. Peatix will not bear any responsibility for tickets purchased anywhere besides the service including and not limited to other sites or services, ticketing shops or scalpers.



8. Distribution of coupon for Attendees

Peatix may distribute and post coupons and advertisements (“Attendee Coupon” or “Attendee Coupons”) to the Attendees which are provided by Peatix or other third party companies and shops. Below provisions are applied to the Attendee Coupons:

  1. Attendee Coupons are distributed and posted in the emails and smart phone application for Attendees provided by Peatix in the Site.
  2. Attendee Coupons are viewed and used at the discretion of the Attendees.
  3. Peatix bears no responsibility for the damages incurred by Attendees or other third parties resulting from viewing or using the Attendee Coupons.


9. Subscription Service

For the purpose of creating and developing communities, the Service provides a feature which enables Organizers, regardless of whether the organizer holds an event, to collect membership subscription fees or support funds for the continuation of activities of the community from the members on a monthly or annual basis. Peatix collects these membership subscription fees or support funds and transfers the funds to the Organizer after deducting of the relevant fee specified by Peatix. Below provisions are applied to the Subscription service:

  1. Peatix will take no part, and the Organizers are deemed responsible for determining the policies including the amount, charge frequency, refund, and purpose of the membership subscription fee or support fund.
  2. Peatix bears no responsibility for the content of the services provided by the Organizer as a compensation for the membership subscription fee or support fund. For any questions regarding such matter, please contact the Organizer directly.
  3. Peatix bears no responsibility for sending notifications on the changes made to the community activity, description, services provided, and agreement. For any questions regarding such matter, please contact the Organizer directly.
  4. Peatix bears no responsibility for refunding membership subscription fees or support funds to the Attendees in case the community activity subject to charge is discontinued for any reason. For any questions regarding such matters, please contact the Organizer directly.


Individual Terms of Service for Event Organizers

1. Application to use the Services
  1. Individual Terms of Services for Event Organizers (“TOS for Organizers”) is ancillary to the Agreement provided by Peatix, and is applicable to all matters relating to the usage and operation of the Services between the Member and Peatix when the Member creates the event page and tickets. Members will check and agree to the TOS for Organizers and TOS for Attendees. When using the Services, Members indicate that they have agreed to all sections of these Agreements, and the contract between Peatix and the Member is deemed to have been concluded. Unless otherwise defined in this TOS for Organizers, definitions of the terms used in this TOS for Organizers are the same as those defined in these Agreements.
  2. Peatix reserves the right to modify the TOS for Organizers without the consent of Members. Post-modification TOS for Organizers will be effective the moment it is displayed on the Site. In case the Member uses the Services after the modification of TOS for Organizers becomes effective, Members are deemed to have agreed to all sections of the modified TOS for Organizers.


2. Personal Information
  1. All event Organizers must act responsibly in the handling of Personal Information obtained through Peatix and its Services, and must not act in violation of the act concerning Protection of Personal Information as Entities Handling Personal Information. Peatix will not be responsible for any agreements made directly between users outside of the Site. Users may not enter into any agreements that violate these Terms of Service.
  2. In case Peatix provides event Organizers the name and email address of Attendees who are attending their event, based on Item (ii) in Section 2 of Article 16 of this Agreement or Item (i) or (ii) in Section 2 of Article 4 of the Privacy Policy, event Organizers shall only use such Attendee name and email address for the purpose of and within the scope of managing Attendees or other necessary occasion for their event.
  3. In case event Organizers wish to contact Attendees before or after the event beyond the scope of managing Attendees or other necessary occasion for their event, the Organizers must disclose the purpose of use and acquire Attendees’ email address, address, phone number, or any other Personal Information required by the Organizer through the form which they can create through the event page creation, and must not use the name and email address provided from Peatix for such purpose.


3. Creation and Publishing of Events and Tickets

Events and Tickets published through this Service are created by Event Organizers using the service. Peatix holds no responsibility or liability for the contents of the Events. Responsibility for paying the consumption tax on ticket sales is held by the Event Organizers. In case there is a defect in the event or a resultant complaint from the Attendee, the Organizer shall handle this in a sincere manner at their full responsibility and cost. However, Peatix reserves the right to, at our discretion, determine and handle complaints from the Attendee on behalf of the Organizer without any advance notice to the Organizer. Peatix reserves the right to, and the Organizer agrees to, charge the Organizer any cost Peatix incurred to handle such complaint and the Organizer compensate for such charge.



4. Disclosure for Published Event

The Organizer is deemed responsible for disclosing the following when publishing an event through the Services to the Attendees.

  1. Organizer is an online merchant selling Paid Tickets for Paid Event through Peatix payment platform and under Peatix trade name.
  2. Tickets paid by credit card through this online selling is a prepaid credit of Peatix between Peatix and the Attendee, and not a payment claim between the Organizer and the Attendee.


5. Customer Support
  1. Organizer is deemed responsible for promptly responding to contacts from Peatix, Attendees, or other third parties regarding the information registered through the Site or the Service.
  2. If the Organizer neglects its responsibility to respond to contacts from Peatix, Attendees, or other third parties, and Peatix determines that it will harm the operation of the Service, Peatix will respond to the contact on behalf of the Organizer regardless of the Organizer’s will.


6. Review and Prohibition of Events

When the Organizer publishes an event which accepts orders for Free Ticket or Paid Ticket, Peatix will review the content of the event based on the guideline specified in these Agreements. Peatix reserves the right to prohibit a Member from using the Service, changing a Member's username and/or password or deleting a Member's account or canceling an Event without prior notice if a created Event or action by a Member is considered to qualify for any of the following. Peatix bears no liability or bears no responsibility for any losses incurred by the Member as a result of these actions.

  1. Actions that violate the law or these Agreements.
  2. Inappropriate or unauthorized use of the service by a Member.
  3. Events for the purpose of recruiting membership for a particular ideology or religion.
  4. Events that violate public order and morality, such as for the purposes of conducting sexual and obscene acts or seeking encounters with strangers of the opposite sex.
  5. Events that include false or inaccurate information.
  6. Events that violate the rights and honor of the Members or other third parties.
  7. Events that post or send harmful computer programs or emails.
  8. Events that provide part or entirety of the information provided on the Site or through the Services to a third party by methods such as copy, reproduction, sending, transferring, distribution, without prior approval from Peatix.
  9. Events that include actions equal or similar to an election campaign, regardless of whether or not during the election period.
  10. Events that include actions that may violate intellectual property rights such as copyrights, trade mark rights of Peatix or other third parties.
  11. In addition to the action prescribed in the preceding paragraph, events that include actions that may violate the property rights, privacy, portrait rights, or any other rights of Peatix or other third parties.
  12. Events that include postage of questions or complaints regarding the accuracy of the feature or information of the Services.
  13. Events using the Services for a purpose unintended by Peatix.
  14. Events that create a nuisance to Peatix or other third parties.
  15. Events that may lead to or has the risk of leading to crimes such as fraud, abusage of controlled substances, prostitution, or money laundering.
  16. Events that solicit customers to transactions other than the Services by indicating preferential treatment or by any other method.
  17. Other instances otherwise deemed inappropriate by Peatix.


7. Cancelling Events

In case the Organizer wishes to cancel the event published through the Service before the event end date, Organizer needs to process event cancelation in the method specified by Peatix. When the event is canceled through this process, an automatic email notifying the cancelation of the event will be sent to the Members who ordered or purchased a ticket, and the tickets will be voided. In case the event which included Paid Ticket was cancelled for reasons attributable to the Organizer, and the Organizer cancelled the event in the method specified by Peatix, the Organizer will incur full amount of ticket cancelation fee specified by Peatix, and Peatix will refund the full purchased amount of the Paid Ticket to the buyer.



8. Application and Internet Connection

In order to check in attendees to an Event at the venue, the Event Organizer must either use a PC or iPhone / Android smartphone with the Peatix iPhone/Android app, connected to the internet. The Event Organizer bears all responsibility for providing a supported device and being in an environment where the device can connect to the Internet. Peatix bears no responsibility for the disabilities in attendee management through applications provided by Peatix or the Site caused by disorder in internet connection, computer, or server.



9. Payouts
  1. Events held in Japan, Singapore, Malaysia, Hong Kong, United States, Canada and Australia
    After 5 business days from the date which Peatix confirmed that the organizer has held the event with Paid Ticket(s), Peatix will deposit the ticket sales of the event after deducting the payment processing fees specified by Peatix (“Payout Amount”). Peatix will transfer the Payout Amount to the local bank account designated by the Organizer in the Site.
    For Hong Kong, Canada and Australia, the Organizer needs to register their bank account details at the latest within 7 days after the first Paid Ticket is sold. If the bank account details are not registered within 7 days, Ticket sales will automatically be suspended for the event.
  2. Events held in other countries
    After 5 business days from the date which Peatix confirmed that the organizer has held the event with Paid Ticket(s), Peatix will transfer the Payout Amount to the PayPal account designated by the Organizer in the Site.
  3. For All Countries
    If the Organizer does not have the bank account information (or PayPal account email address) registered on the Site, Peatix will not make payout until we acquire such information. Peatix bears no responsibility for the delay of payout and resultant damage caused by erroneous bank account information (or PayPal account email address).


10. Event Promotion Service

Peatix provides an event promotion service (“Promotion Service”) which supports Organizers to promote their events created through the Site. Promotion Service is a service through which Peatix announces the events published by the Organizer on the Site by sending emails to the Members and posting on the smart phone application provided by Peatix or on the web site. Below provisions are applied to the Promotion Service.

  1. When an Organizer wishes to use the Promotion Service, they will make an entry to Peatix in advance through the method specified by Peatix.
  2. Peatix will determine at our discretion whether to approve the Organizer to use the Promotion Service for their event, and only the approved event can use the Promotion Service.
  3. Detailed content, condition, and cost of the Promotion Service for the approved event will be presented by Peatix to the Organizer on the Site and Organizer shall agree to the content, condition, and cost of the Promotion Service.
  4. Based on the agreement made between the Organizer and Peatix prescribed in the preceding paragraph, Peatix will announce the event subject to the Promotion Service through email distribution to other Members or postage on the Site and the smartphone application provided by Peatix.

  5. Information regarding the Promotion Service including figures, estimation, effect, performance, or result presented in written, verbal, or in any other method are only for reference, and Peatix does not guarantee that the Organizer can achieve the same. Organizers who wish to use the Promotion Service are deemed to have acknowledged this prior to using the Promotion Service, and cannot make complaints or any other objections regarding the result.



11. Attendee Coupon

Peatix may distribute and post coupons and advertisements (“Attendee Coupon” or “Attendee Coupons”) to the Attendees which are provided by Peatix or other third party companies and shops. Below provisions are applied to the Attendee Coupons:

  1. Attendee Coupons are distributed and posted in the emails and smartphone application for Attendees provided by Peatix in the Site.
  2. Peatix reserves the right to distribute and post Attendee Coupons which Peatix determined as appropriate without prior notice to the Organizers.
  3. Peatix reserves the right to stop the distribution and postage of Attendee Coupon at our discretion.
  4. Organizers cannot make complaints or any other objections regarding the distributed or posted Attendee Coupons.
  5. Peatix bears no responsibility for the damages incurred by Organizer or other third parties resulting from distributing and posting Attendee Coupons provided by third party companies and shops.


12. Subscription Service

For the purpose of creating and developing communities, the Service provides a feature which enables Organizers, regardless of whether the organizer holds an event, to collect membership subscription fees or support funds for the continuation of activities of the community from the members on a monthly or annual basis. Peatix collects these membership subscription fees or support funds and transfers the funds to the Organizer after deducting of the relevant fee specified by Peatix. Below provisions are applied to the Subscription service:

  1. When using the Subscription Service, the Organizer will, in addition to these Agreements, present a separate terms of services to the Attendee which they are required to obtain Attendee’s agreement.
  2. Membership subscription fees or support funds which Peatix collects during the period of using Subscription Services will be transferred to the bank account specified by Organizer after deducting the relevant fee specified by Peatix at month-end-closing, next month-end payment term.
  3. Peatix will take no part, and the Organizers are deemed responsible for determining the policies including the amount, charge frequency, refund, and purpose of the membership subscription fee or support fund.
  4. Peatix bears no responsibility for the content of the services provided by the Organizer as a compensation for the membership subscription fee or support fund.
  5. Peatix bears no responsibility for the damages incurred by Organizer or other third parties resulting from distributing and posting Attendee Coupons provided by third party companies and shops.

  6. Peatix bears no responsibility for refunding membership subscription fees or support funds to the Attendees in case the community activity subject to charge is discontinued for any reason. Peatix will not refund any fee for collecting the membership subscription fees or support funds.



13. Representations and Warranties
  1. Organizers are deemed to represent and guarantee to Peatix that they (including the Organizer’s managements and employees) do not and will not in the future apply to gangster groups, gang members or associate gang members, persons who ceased to be a member of gangster organization until less than 5 years ago, company related to gangster organization, corporate racketeers, social movements such as advocating grounder or special intelligence violence groups such as other parties of similar to these (“Gang Members etc.”) or to any of the sections below. Organizers are also deemed to confirm to Peatix that they will not make any action that falls into any of the items listed in Section 2 by themselves or by using other third parties.

    Regardless of intellectual acts or acts of gross negligence, in case the Organizer violates these representations and warranties, or confirmation, the Organizer is deemed to agree that; (1) Peatix delete the Organizer’s event page from the Site and the server, (2) Peatix immediately cancels the contract based on these Agreements, and cancels the membership of the Organizer. Organizer cannot claim for the damages resulting from such action and the Organizer incurs those damages. And the Organizer (excluding Organizers’ managements and employees) will compensate for any resultant damages suffered by Peatix (including Peatix’ managements and employees) and the Attendees (including Attendees’ managements and employees).

    1. Operating an entity having such relationship with Gang Members etc. that shows their control over the entity’s management.
    2. Operating an entity having such relationship with Gang Members etc. that shows their substantial involvement in the entity’s management
    3. Operating an entity having such relationship with Gang Members etc. that shows reliance on Gang Members etc. for the purpose of unfairly benefiting oneself, one’s own company or third parties or of damaging third parties.
    4. Operating an entity having such relationship that shows provision of funds or facilities to Gang Members etc.
    5. Operating an entity of which Board members or people substantially involved in its management have socially condemnable relationship with Gang Members etc.

  2. Organizers are deemed to confirm to Peatix that they will not make any action that falls into any of the items below by themselves or by using other third parties.

    1. Claims made with forceful behavior and acts of violence.
    2. Unjust claims exceeding legal responsibilities.
    3. Use of threatening action or statements, or violent acts and behaviors in connection with any transaction between the parties.
    4. Acts and behaviors which may damage the credit or obstruct the business of the bank by spreading false rumors or the use of fraudulent means or by force.
    5. Other acts and behavior equivalent to the above howsoever described.


14. Suspension of the Use of Services by the Organizer

Peatix reserves the right to delete any events created by the Organizer through the Services, suspend their use of the Services, or take any other necessary action (including legal proceedings), if the Organizer’s action falls into any of the following items below or if a formal request is made from partnered financial institutions:

  1. Organizer violated any one of the items specified in these Agreements (including when Organizer applies to any one of the items specified in Section 13 of this Agreement)
  2. Organizer received a claim from the Attendee for the cancelation or postponement of the event with Paid Tickets, or refund for the Paid Ticket.
  3. Other instances otherwise deemed necessary to suspend the use of the Services by Peatix from the perspective of consumer protection.


Individual Terms of Service for Resale

1. Scope of Application

  1. Terms of Service for Resale applies to Members and Organizers using the ticket reselling service provided on the Site (“Resale Service”) for the transaction where the Member purchased a ticket from the event Organizer through the Site using Resale Service and apply to resell such ticket under pre-determined condition to other Members (“Resale Entry”) and where the Organizer upon receipt of such application terminates the sales agreement between the applicant by using Resale Service, and the Organizer sell such ticket to other Member under pre-determined condition (“Resale”)
  2. By using the Resale Service, Members indicate that they have agreed to all sections of these Agreements and an agreement regarding usage of Resale Service is made between Peatix and the Member. Unless otherwise defined in this TOS for Resale, definitions of the terms used in this TOS for Resale are the same as those defined in this Agreement.
  3. Peatix may revise TOS for Resale as it sees fit. Revisions of TOS for Resale will be considered active when their content is posted to the prescribed web site by Peatix. In such cases Members must adhere to the revised TOS for Resale.


2. Application to use the Resale Services

  1. If the Organizer wishes to use Resale Service for their event (“Subject Event”), the Organizer shall apply for the use of Resale Service at least 5 business days prior to the date of publishing the Subject Event.
  2. Upon receipt of entry to use the Resale Service from the Organizer, Peatix shall accept such request. However, this shall not apply in the case where it is deemed by Peatix to violate or at risk of violating either Article 6 or 13 of TOS for Organizers, or deemed by Peatix to be inappropriate for such Organizer to use Resale Service.
  3. Ticket subject to Resale shall be limited to tickets for the Subject Event which are purchased or ordered by the Member through the Site (regardless of Free or Paid ticket).
  4. In case the Organizer makes entry for the Resale Service, the Organizer shall determine the minimum and maximum of the resale price (as defined below) at their discretion by pre-determined method.
  5. Peatix shall determine each items below for the Resale Service, and the Organizer is deemed to have agreed to the conditions notified individually or posted on the Site related to below items unless otherwise agreed separately between Peatix and the Organizer, and Organizers cannot make complaints or any other objections.
    1. Base price which the fee specified in item (2) in Section 2 of Article 6 (“Premium Fee”) will be charged when Resale Price exceeds such base price (“Base Price for Premium Fee”)
    2. Ratio to be multiplied (“Premium Fee %”) to the difference between Resale Price and Original Price of the ticket on Resale in order to calculate the Premium Fee (It will be zero if the ticket is Free Ticket and same applies to the sections hereafter)
    3. Ratio of the Premium Fee that is distributed to the Organizer (“Distribution Rate of Premium Fee”)


3. Application for Resale

  1. The Member who purchased ticket for the Subject Event shall be able to make Resale Entry only if the Organizer of the Subject Event chose to use the Resale Service based on Article 2 (Member who made Resale Entry is hereafter referred to as “Resale Applicant”).
  2. When making Resale Entry, the Resale Applicant shall determine the price at which the Resale Applicant wishes to resell (“Resale Price”) within the conditions specified under Section 4 and 5 in Article 2.
  3. When making a Resale Entry, the Resale Applicant is deemed to have agreed to and shall be bound to the conditions specified under Section 4 and 5 in Article 2.
  4. The Resale Entry shall be made by the due date set by the Organizer of the Subject Event. Provided, however, that this shall not apply in the case where the Subject Event was canceled due reasons attributable to the Organizer or was not held for other reasons.
  5. The Resale Applicant can cancel the Resale Entry through the pre-determined method any time before another Member makes a purchase order as specified in Section 1 in Article 4.
  6. If the Resale Applicant makes a Resales Entry but there was no order from another Member as specified in Section 1 of Article 4 before the due date set by the Organizer, the Resale Entry shall be canceled with the reach of such due date.


4. Purchase Order of Resale Ticket

  1. In case the Organizer receives Resale Entry from the Resale Applicant, Peatix shall collect Members who may be interested in purchasing the ticket subject to such Resale Entry (“Resale Ticket”) through the Site in accordance with these Agreements.
  2. In response to the collection in the preceding paragraph, Members shall make order for the Resale Ticket through the Resale Service. When such order was made, the sales agreement related to such Resale Ticket between the Organizer and the Resales Applicant shall be terminated.
  3. Organizer shall sell the Resale Ticket at Resale Price to the Member who made the order in the preceding paragraph (”Resale Ticket Buyer”).
  4. Unless otherwise specified in the preceding paragraphs, Article 3 of TOS for Attendees shall be applied to all matters relating to the purchase and transaction of Resales Ticket.
  5. The Resale Ticket Buyer shall confirm and agree that the Resale transaction of the Resale Ticket is made between the Organizer and the Resale Ticket Buyer, and that Peatix is not the reseller of Resale Ticket.


5. Fare Adjustment for Resale

  1. In case the Resale of Resale Ticket was made in accordance with the preceding Article 2, Peatix shall payout to the Resale Applicant, after 5 business days from the date which Peatix confirmed that the Organizer has held the Subject Event, the amount after deducting the payment processing fees specified under item 1 or 2 in Article 6 from the Resale Price as an agreed settlement money for the termination of the agreement between Resale Applicant and the Organizer specified item 2 in Article 4 (”Resale Settlement Money”).
  2. In case the Resale of Resale Ticket was made in accordance with the preceding Article 2 and the Resale Price exceeded the Base Price for Premium Fee, Peatix shall payout to the Organizer after 5 business days from the date which Peatix confirmed that the Organizer has held the Subject Event the amount calculated from multiplying Distribution Rate of Premium Fee to the Premium Fee in addition to the payout amount as specified under Article 9 of TOS for Organizers.
  3. Resale Applicants shall agree that Resale Settlement Money may be lower than the original price of the Resale Ticket depending on the Resale Price set by the Resale Applicant. Resale Applicant cannot make complaints or any other objections when Resale Settlement Money is lower than the original price of the Resale Ticket.


6. Resale Fee

  1. In case the Resale Price was set below the Base Price for Premium Fee and the Resale of Resale Ticket was made at such Resale Price, Resale Applicant shall pay to Peatix the fee calculated by below formula.

    Total Amount of Resale Price of Resale Ticket made on Resale by Resale Applicant × 4.9% Quantity of the Resale Ticket made on Resale by Resale Applicant × per ticket fee specified by Peatix 210 JPY (JP event only)

  2. In case the Resale Price was set above the Base Price for Premium Fee and the Resale of Resale Ticket was made at such Resale Price, Resale Applicant shall pay to Peatix the fee calculated by below formula.

    i. Regular Fee
    Total Amount of Original Price of Resale Ticket made on Resale by Resale Applicant × 4.9% Quantity of the Resale Ticket made on Resale by Resale Applicant × per ticket fee specified by Peatix 210 JPY (JP event only)

    ii. Premium Fee

    Difference of Resale Price and Original Price of the ticket on Resale × Premium Fee % × Quantity of the Resale Ticket made on Resale by Resale Applicant

  3. Resale Applicant shall agree that payment of the fee specified in the preceding Section 1 or 2 shall be made by deducting from the Resale Price as specified in Section 1 in Article 5.

7. Application of TOS for Attendees

Unless otherwise specified in TOS for Resale, Article 4, 6, and 7 shall be applied to the Resale Ticket Buyer who purchased Resale Ticket in accordance with TOS for Resale.



8. Procedure for cancellation of Resale Ticket
  1. Resale Ticket Buyer who purchased Resale Ticket through Resale Service cannot have such ticket returned or canceled for any reason except for the cases specified in below section.
  2. In case the Subject Event was canceled due to the Organizer’s matter or was not held for other reasons and the Organizer cancelled the event through the method predetermined by Peatix after the Resale of Resale Ticket was made in accordance with Article 3 and 4, Peatix shall make refund of the amount to whom specified in the following items. In such case, the Organizer shall incur all payment processing fees required to make refunds including fees predetermined under item (i) or (ii) of Section 2 in Article 5 of TOS for Attendees if the Resale Applicant or the Resale Ticket Buyer qualifies the conditions specified under same provisions.
    1. For Resale Applicant, the Original Price of the Resale Ticket
    2. For Resale Ticket Buyer, the Resale Price
  3. In the case specified in the preceding paragraph, Resale Applicant shall not have the right to receive the Resale Settlement Money and make complaints or any other objections to the Organizer or to Peatix.


9. Peatix's Liability Limitations

Peatix does not guarantee that Resale transaction will be completed with regards to the Resale Entry made by the Resale Applicant to the Organizer through the Resale Service. Peatix deems the right to, at our discretion, stop, suspend, or terminate Resale Service to Organizers or Members when Peatix determines that it may lead to or has the risk of providing Resale Service.
